Terms of Service

1. Acceptance of Terms

By accessing or using the ClearPath AI website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any changes.

2. Services

ClearPath AI provides AI automation consulting, implementation, and management services for small and medium-sized businesses. Our services include but are not limited to:

• AI Readiness Audits
• Custom AI Implementation
• AI Management Retainer Services
• Training Workshops
• Quick-Win Automation Projects

The specific scope, deliverables, and timeline for each engagement will be outlined in a separate Statement of Work (SOW) or service agreement signed by both parties.

3. Payment Terms

Payment terms are specified in the individual service agreement for each engagement. General terms include:

• Audit services require full payment upon booking or 50% deposit with balance due upon delivery
• Implementation projects are billed on a milestone basis as defined in the SOW
• Retainer services are billed monthly in advance on the first of each month
• Quick-Win projects require 50% deposit with balance due upon completion
• Invoices are due within 15 days of receipt unless otherwise specified

Late payments may incur a fee of 1.5% per month on the outstanding balance. We accept payment via ACH, wire transfer, and major credit cards.

4. Intellectual Property

All content on the ClearPath AI website — including text, graphics, logos, and software — is the property of ClearPath AI and is protected by copyright and intellectual property laws.

For client engagements: upon full payment, the client receives ownership of all custom code, automations, and deliverables created specifically for their project. ClearPath AI retains the right to use general methodologies, frameworks, and non-client-specific tools developed during the engagement.

5. Limitation of Liability

ClearPath AI provides services on an "as is" basis. While we strive for excellence in all engagements, we cannot guarantee specific business outcomes or financial results from our AI implementations.

To the maximum extent permitted by law, ClearPath AI's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim. In no event shall ClearPath AI be liable for any indirect, incidental, special, consequential, or punitive damages.

6. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination:

• Client is responsible for payment for all work completed up to the termination date
• ClearPath AI will deliver all completed work product and documentation
• Retainer services end at the conclusion of the current billing period
• Any prepaid amounts for undelivered work will be refunded on a pro-rata basis

7. MedSpa Visualization Tool — Additional Terms

These additional terms apply specifically to the ClearPath MedSpa Visualization Tool (the "MedSpa Tool"), available at aiclearpath.com/medspas and embedded on MedSpa customer websites. They supplement and do not replace the general Terms of Service above.

7.1 Simulation Only — Not Medical Advice

All images generated by the MedSpa Tool are AI-generated simulations. They are NOT a prediction, guarantee, or promise of any specific clinical outcome. They are not medical advice, not a treatment recommendation, and not a substitute for consultation with a licensed medspa practitioner. Users agree to consult a qualified provider before undergoing any aesthetic treatment. The MedSpa Tool is a marketing visualization aid, not a medical device, and is not intended to diagnose, treat, cure, or prevent any condition under the FDA's definition of a medical device.

7.2 FTC Advertising Compliance

MedSpa customers using the Tool on their own websites are responsible for ensuring their use complies with FTC advertising rules and any applicable state or local medspa/medical-advertising regulations. ClearPath AI provides a default "AI-generated simulation, not clinical results" disclaimer inside the Tool interface. MedSpa customers shall not remove, obscure, or contradict this disclaimer. Making claims about treatment outcomes that are not supported by substantial scientific evidence is prohibited and may be grounds for immediate termination.

7.3 Prohibited Uses

Users and MedSpa customers shall NOT use the MedSpa Tool to:

• Diagnose, treat, or make clinical recommendations for any medical condition
• Promote treatments that the MedSpa customer is not licensed to perform in their jurisdiction
• Upload or process photographs of individuals without those individuals' explicit consent
• Generate before/after visualizations targeting minors (individuals under 18)
• Scrape, reverse-engineer, or attempt to extract the underlying AI model, prompts, or training data
• Resell, sublicense, or white-label the Tool to third parties without ClearPath AI's prior written consent

7.4 Refund Policy

Paid access to the MedSpa Tool is governed by the Refund Policy at aiclearpath.com/medspas/refund-policy, which is incorporated by reference into these Terms. In summary: a 15-day money-back guarantee starts from the date the Tool is installed on the MedSpa customer's website. Refund requests must be made in writing to nadi@aiclearpath.com before initiating any chargeback with the customer's bank or credit card issuer.

7.5 Payment Terms & Stripe

MedSpa Tool purchases are processed through Stripe, Inc., a PCI-DSS compliant payment processor. By purchasing the Tool, MedSpa customers acknowledge and agree that payment collection is subject to Stripe's Services Agreement. ClearPath AI offers two payment paths: (a) a one-time $2,497 upfront payment, or (b) a refundable $499 deposit followed by a $1,998 balance invoice after the implementation call. The $1,998 balance is due within seven (7) calendar days of the invoice date. Balances unpaid after seven days accrue interest at 1.5% per month, or the maximum permitted by applicable law, whichever is lower. Optional ongoing support ($300/month) is billed as a recurring Stripe subscription starting 30 days after install, cancellable at any time with 30 days' notice.

7.6 Chargebacks

MedSpa customers agree to contact ClearPath AI at nadi@aiclearpath.com to resolve any billing dispute BEFORE initiating a chargeback with their bank or credit card issuer. ClearPath AI honors all legitimate refund requests under Section 7.4 within 5 business days, making pre-emptive chargebacks unnecessary. Chargebacks initiated without first contacting ClearPath AI may be contested using this Agreement as evidence of the refund policy, and ClearPath AI may recover any chargeback fees imposed by Stripe or the customer's issuer.

7.7 Photo Handling

Photographs uploaded by end-users of the MedSpa Tool are processed in real time and are not stored, cached, or retained by ClearPath AI or its third-party AI provider beyond the minimum time needed to generate the visualization. 8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Delaware is selected as the governing jurisdiction because its commercial case law is the most developed and predictable in the United States for SaaS and technology contracts. Any disputes arising from these terms or our services shall be resolved through binding arbitration in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association. The arbitrator shall apply Delaware law.
